Terms & Conditions

1. Scope

These Terms and Conditions govern all contracts for web design, AI integration, and cybersecurity services concluded between Jean-Marc von Sanden ("Service Provider") and the client ("Client").

2. Services

The scope, deliverables, timeline, and pricing of each project are defined in a written project proposal or service agreement signed by both parties. These Terms apply in addition to that agreement.

3. Payment

Unless otherwise agreed, invoices are due within 14 days of issue. Late payments are subject to statutory interest under § 288 BGB.

For projects exceeding €1,000, a deposit of 50% is due before work commences.

4. Intellectual Property

Upon receipt of full payment, the Client receives a non-exclusive, perpetual licence to use all deliverables created for the project.

The Service Provider retains the right to display completed work in portfolio materials unless the Client requests otherwise in writing.

Third-party assets (fonts, stock images, plugins) remain subject to their respective licences.

5. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the project and not to disclose it to third parties without prior written consent.

6. Liability

The Service Provider's liability is limited to intent and gross negligence. Liability for indirect damages, loss of profit, or data loss is excluded to the extent permitted by law.

The Client is responsible for maintaining backups of their own systems and data.

7. Termination

Either party may terminate a project by giving 14 days written notice. Work completed up to the termination date will be invoiced at the agreed daily or milestone rate.

8. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany. The place of jurisdiction is the registered address of the Service Provider.
